Willkie represented the creditors on two simultaneous refinancings of existing third party and shareholder debt of the Intelligent Group in order to support the spin outs of the Combell/Zitcom brands and the Sentia brand into two stand-alone capital structures owned by Waterland Private Equity. Intelligent is an international hosting group offering hosting services for SMEs and large enterprises. Both transactions involved first out, last out structures with certain financial institutions and credit funds providing the first and last out debt respectively.
Intelligent is a market leader in Benelux and Denmark for hosting services. In addition to domain names, traditional web hosting and email services it also offers cloud servers and complex tailored hosting and outsourcing for large companies.
The Willkie deal team was led by partner Mark Fine and included lead associate Aymen Mahmoud and associates Henri Weil and Lindsay Murray. The first out lender group was advised by partner Paul Lombard and associate Igor Kuktha. UK partner, Judith Harger advised on the tax aspects.
