Firm represents the underwriters, led by BofA Merrill Lynch and Goldman, Sachs & Co as the joint book-running managers for the offering and CSCA Capital Advisors, LLC and RBC Capital Markets as the co-managers. 

On September 12, Brookdale Senior Living Inc. closed on its sale of an aggregate of 10,298,506 shares of its common stock to the several underwriters.  Willkie represented the underwriters, led by BofA Merrill Lynch and Goldman, Sachs & Co as the joint book-running managers for the offering and CSCA Capital Advisors, LLC and RBC Capital Markets as the co-managers.  The offering was priced at $33.50 per share and resulted in proceeds of approximately $300 million to the company.

Brookdale is a leading operator of senior living communities throughout the United States.  Currently Brookdale operates independent living, assisted living, and dementia-care communities and continuing care retirement centers, with approximately 1,150 communities in 46 states and the ability to serve over 110,000 residents.

The firm also recently advised on Brookdale’s $621 million secondary offering in June 2014.  The deal was handled by partner Cristopher Greer and associates Benjamin Nixon, Hania Masud, Tristan Freeman and Timothy DeKeyser.  Partner Christopher Peters and associate Meredith Levy provided Tax advice.
