Driss Bererhi is special European counsel in the Corporate and Financial Services Department of Willkie Farr & Gallagher LLP and is based in the firm’s Paris office. He specializes in debt financing and project financing transactions, with particular expertise in energy and infrastructure project finance, as well as in general banking and finance law. He advises governments, public bodies, industrial and financial sponsors, export credit and multi-lateral financing institutions, and lenders on infrastructure projects (ports, airports, road, high speed railways, stadium, hospitals, universities, prisons, and telecom networks sectors) and major petrochemical and power projects, both in France and abroad (notably Morocco and Algeria).

Mr. Bererhi is fluent in English and French and also speaks Arabic.

Prior to joining Willkie, Mr. Bererhi was an associate at Freshfields Bruckhaus Deringer LLP in Paris.

Selected Significant Matters
Mr. Bererhi has been involved in the following significant matters:

In France:
  • Advising Ecomouv—a consortium led by Autostrade per l’Italia (the leading European concessionaire for toll motorway construction and management) and its parent company Atlantia, and including Thales, SNCF-P, SFR and Steria—on the Eco-tax project, an automatic taxation system

  • of heavy trucks on the French motorway’s network generating €2.7 billion in overall revenue for Ecomouv and representing a €650 million investment. This transaction was named 2011 European PPP Deal of the Year by PFI and 2011 European Transport and High Technology Deal of the Year 2011 by Project Finance Magazine

  • Advising the European Investment Bank (EIB) on the senior financing (project-risk EIB credit and State guaranteed EIB credit facilities), equity bridge loan financing made available by the EIB, and other financing and inter-creditor matters related to its €1.2 billion contribution to the global project financing for the South Europe Atlantic High Speed Rail Line between Tours and Bordeaux, France. PFI named this transaction the 2011 European Rail Deal of the Year

  • Advising a consortium led by the French construction group Bouygues in the context of the €1.6 billion project for the financing, construction and operation of the Nimes-Montpellier by-pass high-speed rail link

  • Advising project sponsors—construction company Bouygues and Barclays European Infrastructure Project fund—and the project company Lylopolis on the 22-year public private partnership financing and industrial contracts for the €85 million design, financing, demolition and reconstruction, technical operation and maintenance of two high schools in France’s Lorraine region

  • Advising banks SMBC Europe Limited, Société Générale, Crédit Agricole CIB and BBVA-Paris on the financing aspects of a €245 million, 30-year public private partnership (PPP) between the city of Nice and the Nice Eco Stadium consortium (Vinci’s group)

  • Advising the consortium formed by Vinci Concessions, Vinci Energies, AXA IM, SFR and TDF in connection with the €1 billion financing of the GSM-Rail project (design, construction, deployment of a GSM telecom network dedicated to the French national railway system). The deal was named the 2010 Europe Telecoms Deal of the Year by PFI

  • Advising Babcock and Brown, GCC and GDF-Suez in the context of the project for the financing, construction and maintenance of military barracks in Sathonay

  • Advising DEPFA Bank on the project financing for the construction and maintenance by Bouygues’ group entities of four police stations

  • Advising Vinci in the context of the project for the financing, construction and operation of the new stadium in Le Mans

  • Advising DEPFA Bank on the project financing for the construction and maintenance by Bouygues’ group entities of a hospital in the Oise department

  • Advising RBS and Dexia on the financing of the construction and maintenance by a consortium led by Bouygues’ group entities of three prisons in France (third batch of prisons launched by the French Ministry of Justice)

  • Advising Natixis and Société Général on the financing of the construction and maintenance by Bouygues’ goup entities of a hospital in Bourgoin-Jallieu

  • Advising RBS and Dexia on the financing of the construction and maintenance by a consortium led by Bouygues’ group entities of three prisons in France (second batch of prisons launched by the French Ministry of Justice)

  • Advising Société Général, BNPP, Natexis, ING and ABN-AMRO in the context of the financing for the French investment fund PAI’s acquisition of SPIE, the European leader in electrical and mechanical engineering and HVAC services, energy and communication systems

  • Advising the French technology provider SCC (ex-Allium) on a euro securitization of receivables via an asset-backed CP programme

  • Advising CACIB in connection with a euro multi-country (Italy, Luxembourg and France) securitization of factored receivables acquired by an Italian factoring company

  • Advising LBO France in negotiating and documenting the financing of the acquisition of a group of 60 French and international subsidiaries owned by Schneider (French industrial group specialized in the manufacturing of electrical equipment)

Abroad

  • Advising Électricité de France (EDF) and China Datang Corporation in connection with their bid submission in the context of a tender procedure launched by the Office National de l’ Électricité (ONE) for the development of a coal-fired power plant in Safi, Morocco

  • Advising the Kingdom of Morocco (Ministry of Industry) and its rail, electricity, gas, and water agencies and Tangier Mediterranean Special Agency in the context of the implementation of a vehicles production facility by the international cars manufacturer group Renault-Nissan in the Tangier free zone

  • Advising a French bank in connection with the financing for the construction and operation of a hospital in Dammam, Saudi Arabia

  • Advising the Russian aluminum production group Russal in the context of the renegotiation of Bauxite mine concessions in Guinea

  • Advising Mitsui, QPIC, Lurgi, PPSL and Sotraco in the context of a project for the design, construction and operation of a methanol production facility in Algeria

  • Advising the Tangier Mediterranean Special Agency and the government of Morocco in connection with the award, drafting and negotiation of all contracts for the design, construction, operation and maintenance of terminals of the Tangier Mediterranean seaport in Morocco
